1. INTRODUCTION AND SCOPE

1.1 Purpose

This Privacy Policy ("Policy") explains how Load Board collects, uses, shares, and protects your personal information when you use our Platform, website, applications, and services (collectively, "Platform" or "Services"). This Policy also addresses our confidentiality obligations and restrictions on use of confidential business information.

1.2 Applicability

This Policy applies to:

(a) Users who register for accounts on the Platform (carriers, brokers, shippers, and other commercial entities)
(b) Individuals who access the Platform without creating an account
(c) Business representatives who use the Platform on behalf of registered Users
(d) Visitors to our website

1.3 Relationship to Terms of Use

This Policy works in conjunction with our Terms of Use (Section 19.3 of the Terms addresses data processing). In the event of a conflict between this Privacy Policy and the Terms of Use:

  • This Privacy Policy governs data processing practices

  • The Terms of Use govern your use of the Platform and dispute resolution

1.4 Third-Party Data

This Policy does NOT apply to information about third parties (e.g., shippers, end-customers) that you provide to Load Board. You are responsible for obtaining consent from third parties whose information you provide to the Platform.


2. INFORMATION WE COLLECT

2.1 Information You Provide Directly

2.1.1 Account Registration Information

When you create an account, we collect:

For Business Users (Carriers, Brokers, Shippers):

  • Legal business name and structure (LLC, corporation, etc.)

  • Physical business address

  • Mailing address (if different)

  • Email address(es)

  • Phone number(s)

  • Tax ID / EIN

  • Principal owners and decision-makers (names, titles)

  • Banking information (for payment processing)

  • FMCSA credentials (MC number, USDOT number, authority information)

  • Insurance information (policy numbers, coverage limits, carrier details)

  • Surety bond information (for brokers)

  • Operating licenses and certifications

  • Website or social media profiles

For Individual Representatives:

  • Full name

  • Title/position

  • Email address

  • Phone number

  • Address (optional)

2.1.2 Transaction Information

When you use the Platform to post loads or place bids, we collect:

  • Load details (origin, destination, weight, commodity, special handling)

  • Pricing information (rates, quotes, fees)

  • Pickup and delivery dates/times

  • Carrier qualifications required

  • Shipper contact information and requirements

  • Communication history with other Users

  • Bid amounts and responses

  • Load acceptance/rejection decisions

  • Performance notes and feedback

2.1.3 Communication Information

When you communicate through the Platform, we collect and store:

  • Messages and chat history

  • Attachments (documents, photos, bills of lading)

  • Call logs and recordings (if you use integrated calling)

  • Support tickets and customer service communications

  • Email correspondence

2.1.4 Documentation and Verification

We collect documents you provide for verification purposes:

  • Copies of insurance certificates

  • Proof of operating authority (FMCSA SAFER printouts)

  • Government-issued IDs (driver's licenses, business licenses)

  • Tax documents (business licenses, EIN verification)

  • Surety bond documentation

  • FMCSA inspection reports or audit results

  • Background check results (if applicable)

  • Photo/video identification (for verification purposes)

2.1.5 Payment Information

We collect:

  • Credit card numbers and payment method details

  • Billing address and payment history

  • Invoices and receipts

  • Transaction amounts and dates

  • Failed payment attempts

NOTE: Load Board does not store full credit card numbers. Payment information is processed by third-party payment processors (Stripe, PayPal, etc.) and subject to their privacy policies and PCI-DSS compliance standards.

2.1.6 Profile Information

When you create or update your Platform profile, we collect:

  • Company logo and branding

  • Business description

  • Service area(s)

  • Equipment types and availability

  • Ratings and reviews (from other Users)

  • Performance metrics and history

  • Certifications and special qualifications

  • Language preferences

  • Notification preferences

2.2 Information Collected Automatically

2.2.1 Usage Information

We automatically collect information about how you use the Platform:

  • Pages or features accessed

  • Duration of visits

  • Loads viewed or searched for

  • Bids placed

  • Searches performed

  • Loads posted

  • Messages sent

  • Features used

  • Actions taken on the Platform

  • Time and date of activities

2.2.2 Device Information

We collect information about the devices you use to access the Platform:

  • Device type (desktop, mobile, tablet)

  • Operating system and version

  • Browser type and version

  • Device identifiers (IMEI, UUID, etc.)

  • Screen resolution

  • Device settings

2.2.3 Location Information

We collect location information in the following ways:

(a) GPS/Precise Location: If you enable location services, we collect precise GPS coordinates
(b) IP-Based Location: We infer approximate location from your IP address
(c) Location Submitted: You may provide location information when posting loads or setting service areas
(d) Load Information: Load addresses provide implicit location data

You can disable location services in your device settings or account preferences.

2.2.4 Log Files and Technical Information

When you access the Platform, we automatically collect:

  • IP address

  • Domain name

  • Browser type and version

  • Referring website

  • Access times and duration

  • Operating system

  • Pages visited

  • Search queries

  • Error messages

  • Traffic patterns

2.2.5 Cookies and Tracking Technologies

We use the following technologies:

(a) Cookies: Small text files stored on your device to remember preferences, login information, and activity
(b) Web Beacons/Pixels: Transparent images used to track page visits and email opens
(c) Local Storage: Browser storage for user preferences and application data

(e) Retargeting Pixels: Facebook, Google, LinkedIn pixels to serve targeted advertisements

2.3 Information from Third Parties

We may receive information about you from:

(a) Other Users: If other Users mention you in communications or reviews
(b) Business Partners: APIs or integrations with freight management systems, accounting software, etc.
(c) Public Records: FMCSA SAFER System, state licensing databases, business registries
(d) Background Check Services: If you authorize background verification
(e) Credit Reporting Agencies: For credit risk assessment (with your consent)
(f) Social Media: If you link your social media accounts
(g) Referral Programs: If someone refers you to Load Board
(h) Law Enforcement: Subpoenas, warrants, or official requests

2.4 Special Categories of Data (Sensitive Information)

Load Board generally does NOT collect special categories of data (health information, racial/ethnic origin, political opinions, etc.). However, if you voluntarily provide such information (e.g., in a support message), we will treat it as confidential and protect it accordingly.


3. HOW WE USE INFORMATION

3.1 Core Platform Operations

We use your information to:

(a) Provide Services: Operate the Platform, process your account, facilitate transactions
(b) Matching: Match loads with available carriers and vice versa
(c) Verification: Verify your identity, credentials, FMCSA authority, insurance
(d) Payment Processing: Process fees, billing, and payments
(e) Communication: Send transactional emails, platform notifications, status updates
(f) Customer Support: Respond to inquiries, troubleshoot issues, provide assistance
(g) Account Management: Update profiles, manage preferences, process account changes

3.2 Platform Improvement and Analytics

We use information to:

(a) Product Development: Improve features, optimize algorithms, develop new tools
(b) Analytics: Understand usage patterns, analyze platform performance
(c) Benchmarking: Create aggregated reports on market trends, pricing, volumes (anonymized)
(c) Testing: Conduct A/B testing, usability studies, quality assurance
(d) Performance Monitoring: Track system performance, identify technical issues
(e) Data Science: Train machine learning models, improve matching algorithms
(f) Research: Conduct industry research, publish insights (always anonymized)

3.3 Legal and Compliance

(a) Regulatory Compliance: Comply with FMCSA, FTC, state laws, local regulations
(b) Fraud Prevention: Detect and prevent fraud, double-brokering, illegal activity

3.4 Marketing and Communications

(c) Transactional Emails: Send load confirmations, bid notifications, invoice reminders

(f) Personalization: Customize your Platform experience based on preferences

You can opt out of marketing communications anytime (see Section 8).

3.5 Aggregate and Anonymized Data

We may use aggregated, anonymized data without restriction:

(a) Market Reports: Regional pricing trends, volume analysis, rate benchmarks
(b) Industry Insights: Market research, industry reports, white papers
(c) Performance Metrics: Average load times, typical rates, carrier performance ranges
(d) Public Communications: Case studies, blog posts, marketing materials (always anonymized)
(e) Commercial Use: Sell anonymized industry data to third parties (only if clearly anonymized)

Anonymized data cannot identify you and is not subject to privacy restrictions.


4. LEGAL BASIS FOR PROCESSING (GDPR/CCPA)

4.1 GDPR Legal Basis (EU/EEA Users)

If you are in the EU/EEA, we process your personal data based on the following legal grounds:

(a) Contract: Processing necessary to perform the contract with you (providing Platform services)
(b) Legal Obligation: Processing required by law (FMCSA compliance, tax requirements, AML/KYC)
(c) Legitimate Interest: Processing necessary for our legitimate interests (fraud prevention, platform optimization, business analytics)
(d) Vital Interests: Protecting essential interests (security, preventing harm)

4.2 CCPA Legal Basis (California Users)

If you are in California, we process your personal data for the following purposes:

4.3 NYPA Legal Basis (New York Users)

5. INFORMATION SHARING AND DISCLOSURE

5.1 Other Users on the Platform

When you post a load or place a bid, the following information is visible to other Users:

(a) Your company name and branding
(b) Your profile information and ratings
(c) Load details (for posted loads)
(d) Bid amounts and terms (for submitted bids)
(e) Communication within load negotiations
(f) Your contact information (once you exchange contact details with another User)
(g) Performance metrics and reliability scores

You control which information is visible in your profile settings.

5.2 Service Providers and Vendors

We share information with third parties who help operate the Platform:

(a) Payment Processors: Stripe, PayPal, and other payment providers (for payment processing)
(b) Cloud Hosting: Amazon Web Services, Google Cloud, Microsoft Azure (for data storage and hosting)
(c) Email Services: SendGrid, Mailchimp (for email delivery)
(d) Analytics Providers: Google Analytics, Mixpanel (for usage analytics)
(e) Verification Services: Background check companies, FMCSA data verification services
(f) Customer Support: Help desk software (Zendesk, Intercom, etc.)
(g) Payment Fraud Detection: Fraud prevention services, chargeback management

We have Data Processing Agreements with all vendors ensuring they comply with privacy laws.

5.3 Legal and Law Enforcement Disclosure

We disclose information when required by law or when we believe in good faith that disclosure is necessary:

(a) Subpoenas and Warrants: Response to valid legal process
(b) Government Agencies: FMCSA, FTC, state attorneys general, law enforcement
(c) Court Orders: Compliance with judicial decisions
(d) Legal Claims: Defend against lawsuits or protect our legal rights

We will not disclose information except where legally required, and we will not notify you of law enforcement requests except where prohibited by law.

5.4 Business Transfers

If Load Board is acquired, merged, or sold:

(a) Your information may be transferred as part of the transaction
(b) We will notify you of material changes to how your data is handled
(c) You will have the right to opt out or delete your data before transfer (where legally permitted)

5.5 Publicly Available Information

We may disclose information that you make public:

(a) Information in your public profile

(c) Comments in Platform forums or discussions
(d) Information you share on social media linked to your account

5.6 Aggregated and Anonymized Data

We may share aggregated, anonymized data without restriction:

(d) Regional pricing data
(e) Performance metrics (at aggregate level)

Anonymized data cannot identify you and is not subject to privacy restrictions.

5.7 Information We Do NOT Share

We do NOT share:

(a) Your credit card information (stored by payment processors only)
(b) Your password or authentication credentials
(c) Your personal contact information without your consent (except as above)
(d) Information about loads from specific Users with competitors (only aggregated trends)


6. INTERNATIONAL DATA TRANSFERS

6.1 Data Location

Load Board operates in the United States. Your data is stored on servers located in the U.S. (primarily on Amazon Web Services or similar U.S. cloud providers).

6.2 Data Transfers from EU/EEA

If you are located in the EU/EEA, your data is transferred to the U.S. under the following mechanisms:

(a) Standard Contractual Clauses (SCCs): We use SCCs approved by the European Commission for all data transfers
(b) Data Processing Agreements: We have executed DPAs with all processors
(c) Adequacy Decisions: Where applicable, we rely on countries with adequacy decisions

6.3 Data Transfers from Other Jurisdictions

If you are located outside the U.S., your data may be transferred internationally for processing. We maintain appropriate safeguards consistent with applicable law.

6.4 Your Consent

By using the Platform, you consent to the transfer of your information to the United States and other countries where it may be processed. These countries may have different data protection laws than your home country.

7.2 Automated Deletion

After the retention periods above, data is automatically deleted through:

(a) Purging from active databases
(b) Deletion from backup systems
(c) Secure overwriting of storage media
(d) Removal from analytics systems

Deleted data may not be recoverable once purged.

7.3 Data Deletion Upon Account Termination

When you terminate your account or request deletion:

(a) Active listings and communications are removed within 24-48 hours
(b) Login credentials are deactivated immediately
(c) Personal data may be deleted after applicable retention periods
(d) Anonymized and aggregated data is retained indefinitely
(e) Data required by law (tax records, regulatory compliance) is retained as required

7.4 Right to Request Deletion

You may request deletion of your personal data by emailing: privacy@moversloadboard.com

Please include:

  • Your full name and account email

  • Account ID (if applicable)

  • Specific data you wish to delete

  • Reason for deletion request (optional)

Load Board will respond within 30 days. Some data may not be deletable if required by law or regulation.

7.5 Exceptions to Deletion

Load Board will NOT delete:

(a) Data required to comply with law (tax records, AML/KYC documentation)
(b) Data subject to legal holds or pending litigation
(c) Anonymized or aggregated data (no personal identifiers)
(d) Historical transaction records (required for FMCSA compliance)
(e) Data needed to prevent fraud or enforce our agreements
(f) Data obtained from third parties (Load Board cannot delete what it doesn't own)


8. YOUR RIGHTS AND CHOICES

8.1 Access Your Information

You have the right to access personal information we hold about you:

(a) In Your Account: Much of your information is available in your account settings
(b) By Request: Email privacy@moversloadboard.com to request a complete data export
(c) Format: We will provide data in a structured, commonly-used format (CSV, PDF)
(d) Timeline: We will respond within 30 days (45 days for complex requests)
(e) Cost: Provided free of charge; we may charge a fee if requests are excessive

8.2 Correct Your Information

You can correct inaccurate or incomplete information:

(a) In Your Account: Update your profile, contact information, business details directly
(b) By Request: Email privacy@moversloadboard.com if you need assistance
(c) We Will Verify: We may verify changes before updating our records
(d) Timeline: Changes are typically made within 5 business days

8.3 Delete Your Information

You have the right to request deletion of personal data:

(a) Account Closure: Close your account to stop active data collection
(b) Data Deletion Request: Email privacy@moversloadboard.com with deletion request
(c) Scope: We delete personal data while retaining legally required data
(d) Timeline: Deletion occurs within 30 days (or per legal timeframes)
(e) Limitations: Some data cannot be deleted per Section 7.5

8.4 Data Portability

If you provided consent for a specific use (e.g., marketing), you can withdraw it:

(b) Account Settings: Change privacy preferences in your account
(c) Effect: Applies only to future processing; past processing is unaffected
(d) Timeframe: Processed within 10 business days

8.9 Objection to Processing

You have the right to object to processing for certain purposes:

(a) Legitimate Interest: You can object to processing based on our legitimate interests
(b) Profiling: You can object to automated decision-making or profiling
(c) Direct Marketing: You can object to direct marketing (see Section 8.5)
(d) Processing: We will cease processing if we cannot demonstrate overriding legitimate interest

9. DATA SECURITY

9.1 Security Measures

Load Board implements comprehensive security measures to protect your data:

Technical Controls:

  • Data encryption in transit (TLS 1.2+/HTTPS)

  • Data encryption at rest (AES-256 or equivalent)

  • Secure authentication (passwords, multi-factor authentication)

  • Firewalls and Web Application Firewalls (WAF)

  • Regular vulnerability scanning and penetration testing

  • Secure coding practices and code reviews

9.2 Limitations on Security

Despite these measures, no security system is completely impenetrable:

(a) Sophisticated attacks may succeed despite our security measures
(b) Zero-day vulnerabilities may exist and be exploited
(c) Employee negligence or insider threats could occur
(d) Third-party service providers may be compromised
(e) User negligence (weak passwords, credential sharing) may cause unauthorized access
(f) New threats emerge regularly that current measures cannot predict

You acknowledge and accept the inherent risks of online platforms.

9.3 Your Security Responsibilities

You are responsible for:

(a) Maintaining the confidentiality of your password
(b) Not sharing your credentials with other people
(c) Using secure, unique passwords (minimum 12 characters)
(d) Enabling multi-factor authentication if available
(e) Not using public Wi-Fi for sensitive transactions
(f) Not sharing sensitive information via email
(g) Monitoring your account for suspicious activity
(h) Notifying us immediately of suspected unauthorized access

  • Some Platform features may not function without essential cookies

On Our Platform:

  • Cookie consent banner appears on first visit

(c) Business Information: Customer lists, operational procedures, business plans
(c) Technical Information: Your systems, processes, proprietary methods
(d) Communication: Private messages, negotiations, offers
(e) Financial Information: Invoices, payment terms, financial data
(f) Proprietary Data: Any information marked "confidential" or reasonably understood to be confidential

18.3 Confidentiality Among Users

Load Board does NOT guarantee confidentiality between Users:

(a) When you post a load, other Users can see details
(b) When you communicate with another User, they can see your communications
(c) When you bid on loads, brokers can see your bid information
(d) Information shared on the Platform is not confidential between you and other Users
(e) Other Users may use load information for market analysis, benchmarking, or business purposes

If you want information to remain private, do NOT post it on the Platform.

18.4 Load Board's Confidentiality Obligations

Load Board maintains confidentiality of your personal information:

(a) No Public Disclosure: We do not publicly disclose your personal information
(b) Limited Sharing: We share only as described in Section 5 (Information Sharing)
(c) Vendor Confidentiality: We require vendors to maintain confidentiality

(b) Load Board Not Party: Load Board is not party to such agreements
(c) Private Communication: Use private messaging features for sensitive discussions
(d) Off-Platform Agreements: Execute confidentiality agreements offline for sensitive information


19. COMPETITIVE RESTRICTIONS

19.1 Non-Use of Competitive Information

You agree not to use information from the Platform to:

(a) Build Competing Platform: Develop or launch a competing marketplace or service
(b) Extract User Lists: Compile lists of users for competitive purposes
(c) Pricing Analysis: Extract and analyze pricing to develop competitive tools
(d) Market Intelligence: Perform competitive market research using Platform data
(e) Training AI Systems: Train machine learning models for competing services
(f) Algorithm Replication: Reverse engineer Load Board's matching or ranking algorithms

19.2 Data Export Restrictions

Any data you export from the Platform may only be used for:

(a) Your own business operations
(b) Compliance with legal requirements
(c) Load Board-approved purposes
(d) External sharing with your customers/vendors (non-competitive purposes)

Exporting data for competitive purposes violates these terms and may result in legal action.

19.3 Competitive Non-Disparagement

You agree not to:

(a) Make disparaging statements about Load Board's Platform or services
(b) Compete using Load Board's algorithms or methods
(c) Solicit users away from the Platform using Load Board's user data
(d) Copy Load Board's design, features, or functionality


20. BREACH OF CONFIDENTIALITY

20.1 Remedies for Breach

If you breach confidentiality obligations:

(a) Immediate Termination: We may immediately terminate your account
(b) Legal Action: We may pursue legal remedies including injunctive relief
(c) Damages: We may seek damages for losses caused by breach
(d) Injunction: We may seek court orders to prevent further misuse
(e) Attorney Fees: We may recover attorney fees and costs

20.2 Data Breach by Load Board

If Load Board experiences a data breach:

Load Board is not liable for:

  • Damages caused by User negligence (weak passwords, shared credentials)

  • Third-party breaches despite reasonable security measures


ACKNOWLEDGMENT AND ACCEPTANCE

By using the Load Board Platform, you acknowledge that you have read and understood this Privacy Policy and Confidentiality Agreement. You agree to be bound by the terms herein.

If you do not agree with this Policy, you may not use the Platform.
